Educational and Law Practice Background

Steve is admitted to the District of Columbia bar. He has previously been associated with Wilmer, Cutler & Pickering (now Wilmer Hale) and Arent Fox Kintner Plotkin & Kahn, and was Of-counsel (senior counsel) at Mintz, Levin, Cohn, Ferris, Glovsky and Popeo, P.C.

Steve received a J.D. from George Mason University School of Law, graduating with distinction as class valedictorian, on law review, and receiving American Jurisprudence awards in Business Associations, Bankruptcy, Constitutional Law and Products Liability. Steve also received an MBA (Finance concentration) from Virginia Tech.

Corporate/Startup M&A, Securities Law Practice

My Corporate/startup, M&A, and securities practice includes the full gamut of corporate, uncorporate (e.g., LLC), securities, and merger and acquisition matters. Corporate transactional work has aggregated more than $2bn. Represented startups, later-stage issuers (companies), investors and financial services firms in public offerings and private placements of equity and debt securities, venture capital financings, mergers, asset dispositions, acquisitions, corporate restructurings, and shareholder disputes. Extensive 33-Act and 34-Act experience before the U.S. Securities and Exchange Commission, with respect to registration statements, responses to comments, proxy statements, periodic reports, and no-action and exemptive requests.

Technology and Internet Law Practice

My technology and internet practice includes matters concerning internet, information and communications technologies, and related businesses, including electronic commerce and information technology outsourcing. Tech transactional work aggregated more than $1bn. Advised on, negotiated, and documented outsourcing, electronic commerce, sales, lease, services, and licensing agreements, distribution agreements, confidentiality agreements, and other contracts, all in connection with transactions for outsourcing, online, and other services transactions, product licensing and distribution, product development, sale, and acquisition, technology transfer and sharing, systems sale, acquisition, development, operation, integration, as well as private labeling and teaming arrangements.
